Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of agewise.ai and the related Agewise services that help older adults and their families explore senior living and retirement community options (collectively, the “Services”), operated by Agewise AI Inc. (“Agewise,” “we,” “us,” or “our”). Please read these Terms carefully.

1. Acceptance of these Terms

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

2. Who may use the Services

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements and that any information you provide is accurate. If you use the Services on behalf of another person, you represent that you are authorized to do so.

3. What Agewise provides

The Services are an informational platform that helps you discover, compare, and connect with senior living and retirement communities. Information about communities — including features, availability, and pricing — is provided for general informational purposes, may come from third parties, and may change without notice. Agewise does not provide medical, legal, financial, or other professional advice, and nothing in the Services should be relied upon as a substitute for professional advice. You are responsible for independently verifying information and for any decisions you make.

4. Your account

Some features require an account. You are responsible for the accuracy of your account information and for maintaining the confidentiality of your login credentials. You are responsible for activity that occurs under your account. Notify us promptly if you believe your account has been used without authorization.

5. Our AI assistant

The Services include an AI assistant (“Avery”) that provides information, suggestions, and search results based on your inputs. AI-generated responses may be incomplete, inaccurate, or out of date, and may not reflect a community’s current offerings. You should verify important information directly with the relevant community before relying on it. Avery’s responses are informational only and are not professional advice.

6. Connecting with communities

When you ask us to connect you with a community — for example, by requesting a tour, submitting an inquiry, or otherwise consenting to be contacted — you authorize us to share the relevant information you have provided with that community or operator so they can respond to you. Your interactions and any agreements with a community are solely between you and that community. Agewise is not a party to, and is not responsible for, those interactions or any services a community provides.

7. Communications

By providing your contact information and consenting, you agree that we and, where applicable, the communities you connect with may contact you by email, text message, and phone in connection with your requests and the Services, consistent with Canada’s Anti-Spam Legislation (CASL). Message and data rates may apply. You may withdraw consent to promotional communications at any time as described in our Privacy Policy.

8. Acceptable use

You agree not to:

• Use the Services for any unlawful, harmful, or fraudulent purpose;
• Submit false, misleading, or another person’s information without authorization;
• Attempt to access, scrape, disrupt, or interfere with the Services or their security, or use automated means to access them except as expressly permitted;
• Reverse engineer, copy, or create derivative works from the Services except as permitted by law; or
• Infringe the rights of Agewise or any third party.

9. Your content and feedback

You retain ownership of the information and content you submit. You grant us a non-exclusive, worldwide, royalty-free license to use, host, store, and process that content as needed to operate and improve the Services and to fulfill your requests. If you send us feedback or suggestions, we may use them without obligation to you.

10. Intellectual property

The Services, including their software, design, text, graphics, and trademarks, are owned by Agewise or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended personal, non-commercial purpose, subject to these Terms.

11. Third-party content and communities

The Services include information about, and links to, third-party communities and websites. We do not endorse and are not responsible for third-party content, products, or services, or for the accuracy of information provided by communities. Your dealings with any third party are solely between you and that third party.

12. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any information provided through the Services is accurate or complete.

13. Limitation of liability

To the fullest extent permitted by law, Agewise and its directors, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us, if any, for the Services in the twelve months before the claim, or one hundred Canadian dollars (CAD $100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Agewise and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

15. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or to protect the Services or other users. Provisions that by their nature should survive termination will survive.

16. Changes to the Services and these Terms

We may modify or discontinue the Services, or update these Terms, from time to time. When we make material changes to these Terms, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.

17. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict-of-laws rules. Subject to applicable law, you agree that the courts located in the Province of Ontario, Canada will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
